Swapping a confirmed hotel: the 'or similar' clause that holds

Your quote said 'or similar': the five-test clause, the 24-hour notice format and the price-difference maths that hold up when a hotel gets swapped.

Reykjavík · 23:10

Two weeks before a Udaipur departure, your quoted hotel takes a wedding buyout, and your DMC moves your clients to "a similar property." The guest finds it on Google Maps that evening, sees a lower rating and a longer drive to the City Palace, and calls it a downgrade. Your quote said "or similar," and in the consumer orders below, loose wording like that did not save the operator.

Below: five tests to define "similar," a 24-hour notice, the price-difference maths, and the matching DMC or hotel clause, so a swap costs the supplier who caused it, not your margin.

Why "or similar" does not protect you

In the orders below, consumer commissions did not read "subject to availability" or "subject to change" as a licence to swap; they asked whether the client was told in time, with a real choice. In one package, hotels in two cities were swapped and the tour details arrived only the day before departure; the operator argued the hotels were only "proposed," but the NCDRC held it was "the duty and responsibility of the travel company to inform the complainant well in advance," upholding ₹2,00,000 plus ₹21,000 costs. A printed "subject to change without prior notice" clause failed even earlier, for a London hotel left simply unbooked: the Delhi State Commission held the operator hadn't performed its contract as printed, upholding ₹75,000 plus ₹7,000. Both ran under the 1986 Act; the current Act is explicit that "deficiency" includes "deliberate withholding of relevant information" (Section 2(11)), a risk if you know a hotel has fallen through and don't tell the client.

What consumer commissions treated as deficiency

What happened Forum, date Outcome
Hotels changed, nights cut, details sent the day before departure NCDRC, 2024 ₹2,00,000 + ₹21,000 upheld
Printed "subject to change" clause relied on; a hotel unbooked Delhi SCDRC, 2008 ₹75,000 + ₹7,000 upheld
Hotel downgraded without consent, price raised, cancellation refused Haryana SCDRC, 2026 Full ₹3,58,000 + 9% + ₹20,000 + ₹5,000
Hotel cancelled by email the day before arrival; agency's offer came too late Delhi SCDRC, 2026 ₹1,61,000 + 9% + ₹1,00,000 + ₹5,000
Flight cancelled, told two days ahead, rebooked free, chose to travel Punjab SCDRC, 2023 ₹4,000 + ₹10,000 only; appeal dismissed

Late notice and a refused choice cost more than the room-rate difference; the flight row shows the opposite, prompt notice plus a real alternative kept exposure small. It's not automatic: a later Punjab order capped a refund at a platform's own prior offer, over an airline's insolvency, not a hotel swap (Punjab SCDRC).

Define "similar" before you quote: five tests

A hotel is "similar" only against a baseline written down before payment, recorded on the quote with a dated screenshot:

  • Category: official rating where one exists, else a named platform's class. Google shows the official rating "where available" and otherwise assigns its own, partly by machine-learning inference (Google Travel Help, as of October 2026).
  • Review average, same platform, not more than a stated gap below baseline, on a minimum review count.
  • Distance from a named landmark, or inside the same named area.
  • Room and feature: category, bed type, anything sold by name (view, pool, connecting rooms).
  • Meal plan, same code; see the meal-plan codes agents use if yours aren't consistent.

Put this on the quote, not a terms PDF attached later: a Telangana commission treated terms sent only after "the booking formalities were completed" as a deficiency in service, and held that pre-printed terms the client had no say in "cannot be imposed" on them (Chariot World Tours).

Udaipur, 3N: Hotel A, Deluxe Lake View, MAP.
Baseline: 4-star [official / Google class 4, screenshot dated __];
Google review 4.6 on 2,140 reviews, [date]; 0.8 km from City Palace;
lake-view room. Key hotel: [yes/no].

Flag "key hotel" when the trip is sold around it, so its swap lets the client cancel outright, not just lose nights.

The substitution clause, copy-paste

HOTEL SUBSTITUTION

1. Named hotels, held once your deposit of Rs __ reaches us by [date];
until then "requested," and we tell you before you pay if any is
unavailable. We may substitute only for a reason you did not cause
(overbooking, closure, renovation, buyout, supplier failure).

2. "Equivalent" means, against your quote's baseline: (a) same/higher
official category, or [Google] class where none exists; (b) [Google]
rating within [0.3] of baseline, on [200]+ reviews; (c) within [1.5] km
of the named landmark, or same area; (d) same room category, bed type
and named feature; (e) same meal plan.

3. Notice: written within 24 hours of our supplier telling us, with
the substitute, the five-point comparison, its confirmation number.
Final hotel list reaches you at least [7] days before departure.

4. Equivalent substitute: no price change, up or down.

5. Not equivalent ("material change"): you choose within 48 hours (24
inside 7 days): (A) accept it, refund of the rate difference at your
paid price plus GST; (B) a true-equivalent alternative, no extra cost;
(C) if a third or more of nights, or a "key hotel," are affected,
cancel with no charges and get everything back; otherwise, drop the
affected nights for their price back.

6. No reply by the deadline: option A, confirmed in writing. Refunds
follow within [7] days, your original payment mode. This clause does
not cover changes you ask for.

Careful: Clause 1's deposit date matters. In the Haryana case above, the operator argued the client's advance came late, so the itinerary hotels were never booked, and the commission still upheld the full refund. Clause 5 matters too: Section 2(46) of the 2019 Act treats as an "unfair contract" one whose terms "cause significant change in the rights" of the consumer, including "any unreasonable charge, obligation or condition" that puts them at a disadvantage, and Section 49(2) lets a State Commission declare such terms "null and void" (Section 59(2) gives the National Commission the same power). Real options make clause 5 harder to attack on that ground.

The substitution notice: within 24 hours, with a deadline

Send this the day the supplier tells you, not the day before departure: in a Hong Kong booking, an agency that emailed the cancellation the day before arrival, with an offer to cover the difference, was still ordered to pay ₹1,61,000 plus ₹1,00,000 compensation.

Subject: Change of hotel in Udaipur, booking [ref]: please choose by
[date, time]

Dear [Name],

Hotel A told us on [date] it cannot honour your two rooms for [nights]
because [reason]. We are telling you within 24 hours, as promised.

Arranged instead: Hotel B, Deluxe (city view), MAP, confirmation [__].

Quoted | substitute: Category 4-star | 4-star. Rating 4.6 (2,140) | 4.3
(1,610). Distance 0.8 km | 2.6 km. Room Deluxe Lake View | city view.
Result: a material change (distance and view).

Reply A, B or C by [date, time]:
A. Stay at Hotel B, receive Rs 10,819 back (working below).
B. Move to Hotel C, lake view, 0.5 km out, at no extra cost.
C. Cancel the package, no charges (2 of 5 nights affected), receive
Rs [total paid] back.

Working for A: (Rs 11,500 - Rs 9,200) x 2 rooms x 2 nights = Rs 9,200
at cost; at your rate = Rs 10,304; GST 5% = Rs 515.20; refund Rs 10,819.

No reply by [time]: option A, confirmed in writing.
[Name], [phone], available until [time]
I choose option [A/B/C] for booking [ref]. [Name], [date].

That reply over WhatsApp is enough to save to the file. Each traveller on the booking can count as a consumer, since the definition includes any beneficiary of a service availed with the payer's approval, and a complaint can be filed within two years of the cause of action (later, if the commission accepts a sufficient cause for delay).

Working out the price difference

Example: Family of four, 2 rooms, a 5-night package (Udaipur 3N, Jaipur 2N), Udaipur at a net ₹11,500 per room per night, marked up 12%, GST at 5% as on your invoice (illustrative; "Hotel A/B/C" are hypothetical). Hotel A takes a wedding buyout 26 days out, releasing two of the three Udaipur nights. Hotel B passes category and rating but fails distance and room view: a material change, the Option A refund of ₹10,819 shown in the notice above.

Option B, a free upgrade to Hotel C (5-star, lake view, 0.5 km), costs you ₹10,400 more at net across the four affected room-nights, which you can claim back from the hotel or DMC if it signed the supplier clause below. Two of five nights, 40%, is above the one-third trigger, so option C is also on the table.

A quiet swap would have saved ₹9,200 at net, against the Haryana outcome above (a full ₹3,58,000 refund) or the Delhi one (₹1,61,000). Where you have already issued the tax invoice, document the refund with a credit note under Section 34(1), CGST Act; for the deadline and TCS on it, check GST and TCS rules on cancelled bookings and confirm with your CA.

Make the supplier carry the swap

The same five tests belong in your DMC or hotel contract, with a named credit.

SUBSTITUTION (add beside your relocation clause)

If you cannot provide a hotel confirmed to us, you will:
(a) tell us in writing within [12] hours of knowing;
(b) offer a substitute meeting the five tests in Annexure [__], with
its confirmation number;
(c) bear any higher rate for that substitute;
(d) where we accept a lower one, credit us the rate difference plus
[__]% of the original room cost per affected room-night, as agreed
compensation;
(e) reimburse any refund or costs we pay our client because you did
not tell us within (a).

The percentage in (d) is a sum named for breach under Section 74 of the Indian Contract Act, which allows "reasonable compensation not exceeding the amount so named," so a court can award less than the number you agreed. Negotiate a real estimate of what a downgrade costs you. The consumer definition excludes services availed "for any commercial purpose," so your claim against the DMC is ordinarily a contract claim, not a consumer complaint; confirm with a lawyer for a specific dispute. It sits beside the relocation clause in the hotel rate contract format; a hotel walking the group at check-in with no warning is a different drill, the hotel-overbooking playbook.

Keep on file, for at least two years:

  • Quote with baseline screenshots
  • Supplier's written reason and date
  • Your notice and the client's reply
  • Refund proof and both credit notes

Common questions

Package mein hotel badal diya, client refund maang raha hai: kitna dena padega?

Work out the net rate difference for the affected nights, gross it up at your markup, add GST: that's the refund if they accept the substitute. A third or more of nights, or a flagged "key" hotel, and they can cancel instead.

If the substitute is cheaper, do I refund the difference?

No. An equivalent substitute, passing all five tests, carries no price change.

The client refuses every option and wants a full refund anyway?

Under the clause, only when the trigger is met: a third or more nights, or a flagged key hotel. Outside that, put the three options in writing with a deadline.

The short version

  • "Subject to availability" and "subject to change" didn't save operators in these orders; commissions looked at notice and choice.
  • Define "similar" with five tests: category, rating, distance, room/feature, meal plan, baseline on a dated screenshot.
  • Notify in writing within 24 hours; final hotel list at least 7 days before departure.
  • Give three options with arithmetic: refund the difference, free upgrade, or cancel above the one-third/key-hotel trigger.
  • Mirror the five tests in your DMC or hotel contract with a named per-night credit.
  • Document a refund on an invoiced booking with a credit note; keep the full file for at least two years.
  • No clause guarantees a win; it only gives you the paper trail that decides the case.
